1. Who these terms apply to

These terms govern the relationship between SA WebMall (“the Marketplace”) and any person or business that registers a store to sell goods through it (“the Vendor”). By submitting the vendor registration form you confirm that you have read, understood and agree to be bound by them.

2. Registration and eligibility

You must be at least 18 years old and legally able to conclude contracts. If you register on behalf of a company, close corporation or trust, you warrant that you are authorised to bind that entity. You must provide accurate registration details, including a valid contact number, a genuine trading name, and where applicable your CIPC registration number and VAT number. You must keep these details current.

3. Your store

You are responsible for the content of your store: product listings, descriptions, images, pricing, stock levels and delivery terms. You warrant that you have the right to sell every item you list, that your listings are accurate and not misleading, and that you own or are licensed to use all images and text you upload.

4. Prohibited items and conduct

You may not list counterfeit goods, stolen goods, items you are not legally permitted to sell, or anything prohibited by South African law. You may not manipulate reviews, misrepresent your identity, or attempt to divert customers off the Marketplace to avoid commission.

5. Commission and payments

The Marketplace deducts a commission from each completed order. The applicable commission rate is shown in your vendor dashboard and may be amended on reasonable written notice. Funds become available for withdrawal once an order reaches the qualifying status, subject to the minimum withdrawal balance and any withdrawal charges published in your dashboard. You are responsible for supplying correct banking details; the Marketplace is not liable for funds paid to an account you specified incorrectly.

6. Taxes

You are responsible for determining, charging, collecting and remitting any tax due on your sales, including VAT where you are a registered vendor for VAT purposes. The Marketplace does not provide tax advice.

7. Orders, delivery and returns

You must fulfil accepted orders within the delivery timeframes stated on your listings, keep order statuses current, and respond to customer queries promptly. You must handle returns, refunds and repairs in accordance with the Consumer Protection Act and your own published policy, whichever gives the customer greater protection.

8. Customer data

Personal information you receive about customers may be used only to fulfil their orders and to handle related queries. You may not use it for unrelated marketing, sell it, or share it with third parties except as strictly necessary for fulfilment. You must process it in accordance with POPIA.

9. Suspension and termination

The Marketplace may suspend or close a store that breaches these terms, that generates a pattern of unresolved customer complaints, or that is reasonably suspected of fraud. Where practical, notice and an opportunity to remedy will be given first. You may close your store at any time, provided all outstanding orders are fulfilled or lawfully refunded.

10. Liability

The Marketplace provides the platform. The contract of sale for any item is between the Vendor and the customer. You indemnify the Marketplace against claims arising from your listings, your goods, or your handling of an order, to the extent permitted by law.

11. Changes to these terms

These terms may be updated from time to time. Material changes will be communicated to registered vendors, and continued use of the Marketplace after the effective date constitutes acceptance.
